1. The Buyer intends to purchase Tantalum Ore from the Seller at a price agreeable between the parties. The price will be based on the percentage of Ta2o5 found in each ton of ore. The product will be paid in U.S. Dollars unless otherwise agreed to in writing.



2. The Buyer further intends to purchase ores containing approximately X metric tons of tantalum pentoxide equivalent per month from the Seller at the same price agreed to above for a period of one year so long as the average spot price does not go down.



3. The ore is expected to contain at least equivalent to *0% by weight of tantalum pentoxide (whether in the form of metal or pentoxide) ThO2 U3O8 less than 0.*5% by weight, and the radioactivity of the ores below 0.3 uSv/hr as measured on the surface of the drum (or surface of the container)



4. The total purchase price will be based on the amount of tantalum pentoxide (Ta2O5) based on the tested percentage of Tantalum (Ta**5) contained in said ore.



5. Tantalum pentoxide content will be based on assay survey conducted by independent parties, which are well recognized and have global operations, such as A.H. Knight, S.G.S., and Alex Stewart. The survey is to include:

a. Sampling,

b. Net and gross weights of each drum,

c. Sealing of each drum, and

d. Analysis for moisture, Ta2O5, Nb2O5, U3O8, and ThO2 contents

Costs of the survey will be paid for by the Seller on the first shipment and by the Buyer on future shipments.



6. When contract with the herein agreed terms is signed and sealed the Buyer oe it’s assigns agrees to tenure a SBLC for **0% of the anticipated approximate agreed selling price.



7. Once the assay report is completed to buyer’s satisfaction, the Buyer is to pay full invoice amount by wire transfer to bank of Seller’s choice on presentation of the Bill of Lading. The freight and insurance required for shipping from exit port in Brazil will be the responsibility of said Buyer.



8. Original copy of following document must be presented for payment:

a. Signed original invoice

b. Original Bill of Lading

c. Packing list by the independent 3rd party

d. Assay report by the independent 3rd party

e. Certificate of container seal the independent 3rd party

f. Certificate of mine

g. Brazil export license



9. The parties further agree that the purchase price will be based on FOB exit port Brazil.



*0. This contract shall run for (1) one year or (*2) twelve consecutive months from first shipping date.

Tantalum Applications

Tantalum usage has developed significantly over recent years and is now used extensively in the manufacture of capacitors in electronic applications such as mobile phones and computers; in superalloys with nickel and cobalt for the aerospace industry; in specialty metal products for the medical, pharmaceutical, and chemical industries; and in metal carbide for the metal working tools industry.
